Preserving Value. Restoring Confidence. Renewing Enterprise.

Purpose
Every enterprise experiences periods of challenge. Economic downturns, market disruption, technological change, operational failures, governance weaknesses, regulatory shifts and financial distress can threaten even the strongest organisations.
The objective of restructuring is not simply to deal with failure. It is to preserve viable businesses, protect employment, safeguard investments, maximise creditor recoveries and restore long-term commercial sustainability.
The Insolvency & Business Restructuring Advisory Platform exists to help organisations respond decisively to financial and operational distress through strategic restructuring, business recovery and enterprise renewal.
Why this matters

Signature solutions
Defined pieces of work that address the needs this platform meets most often. Each can be scoped and commissioned on its own.
Enterprise Recovery Programme
Stabilisation and implementation for a distressed business: immediate control measures, a creditor strategy, a restructuring plan and the governance to execute it — run by practitioners who have held the operator's seat, not only advised from beside it.
Independent Business Review
An objective evaluation of financial position, operational performance, governance and strategic options, written for the board, the lender or the investor who must now make a decision — with a recommendation, and the reasoning that supports it on the record.
State-Owned Enterprise Transformation
Restructuring, commercialising and strengthening a public enterprise: governance reform, financial restructuring, operational improvement and the constitutional and administrative discipline that public ownership demands at every step.
INSOL International Fellowship, awarded on completion of the Global Insolvency Practice Course, is held by only a handful of practitioners in Uganda. Two of them are Ligomarc partners.

Why Ligomarc
Restructuring is about more than managing distress---it is about preserving institutions, protecting value and creating credible pathways to recovery.
Ligomarc combines expertise in finance, disputes, tax, employment, governance, infrastructure, technology and public policy to deliver integrated restructuring solutions. We work alongside boards, lenders, governments, investors and management teams to stabilise organisations, resolve complex challenges and restore confidence.
Our multidisciplinary approach enables clients to move beyond crisis management towards sustainable recovery and renewed growth.
Strategic Note for the Next Chapter
The next Platform---Special Situations Advisory---should be positioned as Ligomarc's most distinctive offering. Unlike restructuring, which focuses on financial distress, Special Situations will address exceptional, high-stakes and institutionally significant mandates that demand strategic judgement, multidisciplinary coordination and trusted leadership. It should become the Platform for the kinds of complex public and private engagements that define Ligomarc's reputation.
Institutional Experience Applied. This Platform rests on the fullest expression of our stewardship experience: three years operating Uganda’s largest corporate administration under court supervision, described in Chapter 2. Creditor adjudication, asset verification, workforce and union management, licence maintenance, forensic review of prior management, investor search, court reporting and governance handover were all conducted in practice, not advised on in principle.
Platform leadership
Regional & continental frameworks
National insolvency legislation and rules across the region; the UNCITRAL Model Law on Cross-Border Insolvency; the OHADA Uniform Act on Collective Proceedings for the Francophone jurisdictions; the World Bank Principles for Effective Insolvency and Creditor/Debtor Regimes; EAC and COMESA company law harmonisation initiatives; the constitutional guarantees of property, fair hearing and access to court that constrain every enforcement step.
Contribution to the African Purposes
Supports African Family Businesses by keeping enterprises alive through distress rather than liquidating a generation of accumulated capital. Advances African Institutional Stewardship through the rescue and restructuring of state-owned enterprises and regulated entities. Advances African Continental Integration through coordinated cross-border proceedings.
